The legal position
TUPE protects employees in qualifying business transfers and service-provision changes. Employment contracts and continuity generally transfer to the new employer, with important rules and exceptions. Whether a particular arrangement qualifies is fact-sensitive. A change of supplier is not automatically covered in every case. Information and consultation obligations, and restrictions around changes or dismissals connected with a transfer, need separate attention.

Bring HR into the transaction early. Establish the activities, workforce and proposed measures rather than relying only on commercial labels. Plan employee information, representative arrangements and consultation with specialist support. Verify the information exchanged securely and track unresolved issues. Prepare the receiving managers to honour actual arrangements, including adjustments, rather than assuming everyone can be moved onto a standard template immediately.
